These terms of use govern your browsing of the https://eu.shopmelissa.com/it website ("Site") and use of its features ("Services").
The Site is operated by Grendene Italy S.r.l. with headquarters at Largo Guido Donegani, 2, 20121, Milan, Italy. CF / VAT number 08362280961 (hereinafter "Grendene").
The Site is operated by Shopify, which is the provider of the services that enable its operation ("Services").
Occasionally, information on the Site may contain typographical errors, inaccuracies or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if the information is inaccurate at any time without notice.
You may access and use the Services only for legitimate purposes. You may not access or use the Services, directly or indirectly: (a) for illegal or malicious purposes; (b) to violate any applicable regulations, rules, laws, or other provisions; (c) to infringe our intellectual property rights or those of others; (d) to transmit false or misleading information; (e) to send, knowingly receive, upload, download, use, or reuse any material that does not comply with these Terms of Use; (f) to impersonate or attempt to impersonate any other person or entity; or (g) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services or that, in our judgment, may harm Melissa EU, Shopify or users of the Services, or expose them to liability.
In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code that could be used in any way that would impair the functionality or operation of the Services; (b) reproduce, duplicate, copy, sell, resell or exploit any part of the Services; (c) collect or track the personal information of others; (d) send spam, phishing, pharming, pretexting, spidering, crawling or scraping; or (e) interfere with or circumvent the security features of the Services or any related websites, other websites or the Internet. We reserve the right to suspend, deactivate or terminate your account at any time, without notice, if we believe that you have violated any part of these Terms of Use.
Grendene does not charge any fees or impose any charges for access to the Site. The costs incurred by the User are solely those of surfing the Internet, as agreed upon by the Client and its ISP, Grendene being completely unrelated to this relationship.
In no event shall Grendene be liable for any errors resulting from the failure of the Client's Internet connection to the Site.
The Site, its presentation, as well as all logos used in connection with the sale of the Products are protected by intellectual and industrial property rights, and in relation to them the Client does not acquire any rights, not even following the conclusion of the Contract.
Therefore, any form of reproduction, communication, distribution, publication, alteration or transformation, in any way and for any purpose they occur, of the contents of the Site, trademarks and logos used by Grendene (such as, by way of example, the works, images, photographs, drawings, dialogues, presentations, music, sounds, videos, graphics, colors, features and design of the Site) is prohibited.
GENERAL CONDITIONS OF SALE.
1. SUBJECT MATTER AND SCOPE OF APPLICATION
1.1 These general conditions of online sales (hereinafter "GTC") govern the sale and purchase of products (hereinafter "Product" or "Products") offered by Grendene Italy S.r.l. - with registered office in Largo Guido Donegani, 2, 20121, Milan, Italy. CF / VAT number 08362280961 (hereinafter "Grendene") - through its website https://eu.shopmelissa.com/it (hereinafter the "Site") to the users of the Site (hereinafter the "Customer" or the "Customers").
1.2 The online sales service on the Site is reserved exclusively for consumers. "Consumers" shall mean natural persons, over 18 (eighteen) years of age, acting for purposes unrelated to their trade, business, craft or profession (defined as "Customers" or individually "Customer"). Therefore, by expressly accepting these GTC, the Customer declares that it is purchasing the Products for purposes other than the aforementioned purposes.
1.3 In view of its commercial policy, Grendene reserves the right not to process orders from parties other than the Client or otherwise orders that do not comply with its commercial policy.
1.4 The sale of the Products is made independently by Grendene, and with respect thereto you acknowledge and agree that Shopify is not responsible for any aspect of the sales between you and Melissa EU, including any damages or losses arising from the products and services purchased.
2. EFFECTIVENESS AND MODIFICATION OF THE GTC
2.1 The Contract is governed by the GTC published on the Site on the date of the order of the Products. The Customer should therefore check the applicable GTC at the time of purchase.
2.2 Some sales campaigns, depending on the specificity of the Products, may be subject to special conditions in addition to or in derogation of the GTC. These special conditions are always included and accessible in the "description" of each Product via a link or in the description sheet. The Customer, by purchasing the Product, accepts these special conditions in addition to or in derogation of the GTC.
2.3 The Customer is therefore required to carefully read these GTC and any special conditions, prior to purchase, in addition to the privacy policy. You can file each Order Request (as defined below) and download the GTC using the relevant browser command. Grendene, in any case, will send the Customer a copy of the Order (as defined below) with all the necessary information, also by e-mail. The documents may easily be printed or saved using the functions made available by common e-mail programs.
2.4 Grendene's mere tolerance or failure to object to any failure of the Client to comply with the GTC or special terms shall not be construed as tacit acceptance of such failure, or as a willingness to waive such GTC.
3. PRODUCTS
3.1 The essential characteristics of the Products, including the duration of the offer, the price including VAT and delivery costs, are viewable in good time prior to the conclusion of the Contract and payment. In particular, the essential characteristics of the Products can be viewed by entering the tab of each Product.
3.2 The graphical representation of the Products displayed on the Site may differ from reality; the Client shall, therefore, have to rely on the description of the Product and its characteristics shown on the Product page.
3.3 Grendene reserves the right to limit, at any time, the quantity and/or type of Products that can be purchased on the Site.
3.4 The promotions indicated on the Site will be applicable to the Product only where expressly specified for the same on the Product page.
4. SALE PROCEDURE
4.1 The sale of Products presented on the Site is subject to their actual availability.
4.2 The Customer who intends to proceed with the purchase of one or more Products must express this will through an order request made directly on the Site (hereinafter, "Order Request"), in the specially dedicated section, following the procedures described below.
4.3. The transmission of the Order Request constitutes a purchase proposal by the Customer governed by these GCV, and is binding on the Customer, without prejudice to the right of withdrawal provided for in Article 7. The transmission of the Order Request by the Customer entails the obligation to pay the price of the Product and shipping costs, if any.
4.4. Before submitting the Order Request, the Customer has the opportunity to make corrections and/or changes to the data entered by following the appropriate procedure indicated on the Site; by way of example but not limited to, the Customer has the right to change the quantity of the Products it intends to purchase within the shopping cart (hereinafter "Shopping Cart").
4.5. To purchase a Product, Customer must: (i) place the selected Product in the Shopping Cart (ii) fill in the Order Request (iii) select the payment and delivery method (iv) accept the Terms and Conditions and declare to have read the Privacy Policy (v) transmit the Order Request through the Site.
4.6. Once the Order Request has been submitted, the Customer will receive an automatic message confirming its receipt by Grendene. The purchase order shall be deemed formalized only when the Customer receives confirmation of the acceptance of the Order Request (hereinafter "Order Confirmation") and, therefore, concluded the relevant purchase and sale agreement ("Contract").
4.7. Grendene may reject an Order Request, or if already formalized, cancel the Order in the following cases:
(i) in case of non-availability of the Products, subject to the provisions of Article 4.8. or
(ii) in case the payment made by the Customer is not successful; or
(iii) in the event that there is a report, or suspicion, of fraudulent, illegal activities or activities contrary to Grendene's policy as set forth in these GTC, including if purchases are made for commercial purposes.
4.8. In the event of unavailability of one or more ordered Products, the Customer will be notified by e-mail. In such case, the Order Request is accepted limited to the available Products. In case of partial acceptance, the Customer is required to pay only the price relating to the available Products; if payment is made by credit card, the Customer will be charged only the amount corresponding to the available Products, in addition to any shipping costs, where applicable.
5. PRICE OF PRODUCTS AND PAYMENT
5.1 The price of the Products indicated on the Site is expressed in Euro and is inclusive of all applicable taxes or duties. Delivery charges, if any, specified on the page of the Site containing the terms of delivery shall be added to the price of the Products.
5.2 The Customer may settle the price of the Products and any delivery charges through the payment methods made available in the summary and payment section of the Site.
5.3 If the Customer wishes to receive an invoice, the Customer must select the appropriate option on the Site and complete the required fields before submitting the Order Request. The information indicated for invoicing must match the information in the "billing address" section provided by the Customer. After issuance, the invoice cannot be changed.
5.4 Grendene accepts payments through the credit cards/instruments listed on the summary and payment page of the Site.
5.5 In the event that one or more Products prove to be unavailable after the confirmation of the Order, Grendene will notify the Customer by e-mail and will refund the price of the Product (on the same instrument used by the Customer for payment) and the shipping costs in the event of cancellation of an Order relating to a single Product or to several Products all of which are unavailable.
5.6 Grendene constantly verifies the accuracy of the price of the Products indicated on the Site; however, it is not possible to guarantee the absence of errors. In the event that an obvious error is found in the indication of the price of a Product, Grendene shall reject the Order and offer the Client the opportunity to purchase the Product at the correct price.
6. Confirmation of shipment and delivery
6.1. Grendene will send the Order Confirmation e-mail to the Customer, a confirmation that the Products have been shipped to the address indicated by the Customer.
6.2 Grendene delivers to 26 countries in the European Union, as indicated on the Site.
6.3 A link will be indicated in the Order Confirmation and/or shipment confirmation email, by clicking on which it will be possible to follow the status of the shipment.
6.4 The delivery times indicated are indicative and failure to comply with them shall not be the responsibility of Grendene, provided that they are within reasonable limits.
6.5 Grendene shall not be held liable for errors in delivery due to inaccuracy or incompleteness in the compilation of the purchase order by the Client.
6.6 No change of address or delivery method is permitted after the Order has been placed.
6.7 The Products will be delivered by courier selected by Grendene on working days (excluding, therefore, Saturdays, Sundays and local or national holidays).
6.7 Upon delivery by Courier, it may be necessary for the Customer (or its delegate) to sign the delivery form.
6.8 The Customer (or its delegate) is obliged to check, at the time of delivery of the Products by the Courier or collection of the same:
(i) that the number of packages being delivered corresponds to the number indicated on the delivery document; and
(ii) that the packaging and related seals are intact, undamaged, not wet or altered in any way.
6.9 Any damage to the packaging and/or the Product or any mismatch in the number of packages or markings must be immediately objected to in writing on the Courier's delivery document and communicated to Grendene, together with photographic documentation, by e-mail to: contact@shopmelissa.eu. Grendene, upon receipt of such communication, shall assess the dispute raised by the Client and shall proceed, in the event that it is justifiably proven, in accordance with the provisions of Article 8 below for conformity defects of the Product.
7. WITHDRAWAL - RETURNS
7.1 Pursuant to Article 52 of the Consumer Code, the Customer has the right to withdraw from the Contract, without specifying the reason, within 14 (fourteen) days from the date on which the Customer (or its authorized representative for receipt of the Product) materially takes possession of the Product (so-called legal withdrawal).
7.2 In order to exercise the right of withdrawal, the Customer must return the purchased Product to Grendene by sending it to the address indicated on the return label in the box in which it received the Product. The costs of returning the Product will be borne by the Customer.
7.3 The purchased Products must be returned undamaged, unused, in their original packaging (if any), undamaged and with the identification tag attached with disposable seal still attached as well as the warranty certificate (if any).
7.4 Upon receiving a notice of withdrawal from the Client and verifying the proper execution of the terms and conditions set forth in this Article, Grendene shall within 14 days arrange for the refund to the Client of the price of the Product and, if applicable, the shipping cost.
Grendene shall execute the refund using the same means of payment used by the Client to purchase the returned Product, unless otherwise expressly agreed upon with the Client.
7.5 In accordance with the provisions of Article 59, paragraph 1, of the Consumer Code, the right of withdrawal does not apply to Orders relating to: (a) customized Products; (b) sealed Products that are not suitable to be returned for hygienic reasons or reasons related to the protection of health, because they have expired or have been opened after delivery, such as, merely by way of example, cosmetic products for personal care and beauty.
8. Conformity Defects.
8.1 Should a Product sold by Grendene have a conformity defect, the Client may immediately contact Grendene's Customer Service by e-mail at contact@shopmelissa.eu.
8.2 The sale of Products is subject to the legal guarantees provided for in Articles 129, 130 and 132 of the Consumer Code. Pursuant to these provisions, the Client has the right to obtain the restoration of the conformity of the goods by repair or replacement (the Client may choose whether to obtain the repair or replacement of the Product under the conditions provided by law), at no cost to him or her, or, if one of these remedies is not possible, in accordance with the provisions of Article 135 bis of the Consumer Code, he or she may obtain a reduction in the price of the Product or termination of the Contract. The Customer shall forfeit these rights if he does not report the lack of conformity within the term of 2 (two) months from the date on which he discovered such lack of conformity. An action seeking to enforce a lack of conformity that has not been fraudulently concealed by the Seller shall be time-barred, in any event, within 26 (twenty-six) months from delivery of the Product.
8.3 In the event that the Client requests, within the terms set forth in this Article 8, the repair or replacement of the Product due to a conformity defect, the delivery costs for the return to Grendene of the Product to be repaired or replaced, as well as all costs related to the delivery to the Client of the repaired or replaced Product, shall be borne by Grendene.

10. Applicable law and place of jurisdiction
10.1. These GTC and consequently, the Contract between the Client and Grendene, are governed by Italian law and must be executed and interpreted in accordance with it, including the Consumer Code and the E-commerce Decree. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
10.2 Customers located in European countries other than Italy shall benefit from any more protective mandatory rules, if any, provided for by the legislation of the countries in which the Consumer Customer has its habitual residence.
10.3 Any dispute arising out of the interpretation, validity and/or execution of the Terms and Conditions and the Contracts shall be devolved to the mandatory jurisdiction of the court of the place of residence or domicile of the Customer.
10.4 In any case, for any dispute that may arise in connection with the Terms and Conditions and the Contracts, Customers may activate an out-of-court dispute resolution procedure that complies with the requirements of Articles 141 et seq. of the Consumer Code.
Alternatively, and residually for disputes between Grendene and the Client resident or domiciled outside the Italian territory, the Court of Milan shall have exclusive jurisdiction.
10.5 The Client may, in addition, choose to make use of the platform for the extra-judicial resolution of disputes provided by the European Commission, found athttps://ec.europa.eu/consumers/odr/main/?event=main.home2.show&lng=IT.
